New Companies House verification requirements – who needs to verify?

There are new rules that are coming into force that require officers and PSCs (persons with significant control) of Companies that are active on the Companies House (CH) register to undertake a new verification process.  Once this has been successfully completed, a unique code will be issued to the individual.  The code will be required in the future by anyone who will be filing any Companies House document, accounts, confirmation statements, or any other CH form.

This means your accountant will need to have the code for every director and PSC, should the PSCs be different from the directors, to file the year-end accounts.  If the directors have not undertaken the process ahead of this filing, there could potentially be problems and late filing penalties.

The new rules are part of the Economic Crime and Corporate Transparency Act 2023 (ECCTA).  The rules aim to strengthen the integrity of the Companies House register data and reduce fraud and misuse.  

The verification regime is being phased in.  Some parts are already live (voluntarily), and the mandatory phase begins on 18 November 2025.

Who Needs to Verify Their Identity?

The rules apply (first) to individuals holding or assuming certain roles. The key categories are:

  1. Directors (or equivalent)
  2. Persons with Significant Control (PSCs)
  3. Members of Limited Liability Partnerships (LLPs)
  4. Authorised Corporate Service Providers (ACSPs)

We recommend that this procedure is undertaken now to avoid any problems later when deadlines are approaching for filing documents.

Remember, without the code, your accountant cannot upload!
